Wholesale Terms & Conditions

Effective Date: March 1st, 2026

These Wholesale Terms & Conditions (“Agreement”) outline the policies governing the relationship between Woodlands Mahjong Society (“WMS”) and approved wholesale partners (“Retailer”). Submission of a wholesale order constitutes acceptance of the terms below unless otherwise agreed upon in writing.

1. Wholesale Account Qualifications

Woodlands Mahjong Society partners with retailers who reflect the heart and integrity of our brand.

To be considered for a wholesale account:

  • Retailers must operate a physical brick-and-mortar storefront.
  • Stores should carry complementary products and maintain merchandising standards aligned with the WMS brand.
  • WMS reserves the right to approve or decline any wholesale application at our discretion.
  • Verification of storefront location and merchandising presentation may be requested during review.

Our goal is to build intentional, long-term retail partnerships that elevate both brands.

2. Order Minimums

  • Opening Order Minimum: $1,500
  • Reorder Minimum: $250

Orders must meet the applicable minimum before shipping.

3. Wholesale Pricing & Payment Terms

  • All prices are listed in USD.
  • WMS reserves the right to adjust pricing with 30 days written notice.
  • Accepted payment methods: Credit Card 
  • All in stock wholesale orders must be prepaid in full prior to shipment.
  • Pre-sale item are required 50% payment at time of purchase and 50% before shipping

4. Shipping & Fulfillment

  • Orders under $1,000 will incur a $30 flat-rate shipping fee.
  • Orders typically ship within 7–10 business days after payment is received. This applies to in stock items only.  Pre-sale item will ship within 7-10 days of us receiving them.  
  • Once an order leaves our warehouse, WMS is not liable for carrier delays or transit issues.

Tracking details will be provided once available.

5. Returns, Damages & Claims

All wholesale orders are considered final sale.

If products arrive damaged or defective:

  • Claims must be submitted within 7 days of delivery.
  • Clear photos of packaging and product damage are required.
  • Claims must be submitted in writing to: woodlandsmahjongsociety@gmail.com

Approved claims will be resolved at WMS’s discretion through replacement product or account credit.

6. MSRP & Minimum Advertised Price (MAP) Policy

To preserve the integrity, value, and reputation of the Woodlands Mahjong Society brand, all authorized Retailers agree to the following pricing standards.

6.1 MSRP (Manufacturer’s Suggested Retail Price)

  • MSRP is the official retail price established by WMS.
  • All public-facing advertisements must display MSRP unless a written promotional exception has been granted by WMS.
  • This includes websites, social media, digital advertising, email marketing, print materials, and third-party marketplaces.

6.2 MAP (Minimum Advertised Price)

  • When a promotion is approved, the lowest publicly advertised price may not exceed a 10% discount off MSRP unless expressly authorized in writing by WMS.
  • Promotional approvals must be granted in advance.

6.3 Online Sales & Advertising

Please note, you may not sell Woodlands Mahjong Society products online, this includes your own website, Instagram, Etsy, Amazon, Facebook Marketplace, or any third-party e-commerce platforms.  WMS has the exclusive rights to selling our products online and we do not allow our wholesale accounts to sell our products online in any way.  

Failure to follow this policy will result in immediate termination of your wholesale account.

Without written approval from WMS:

  • Products may not be advertised or sold online below MSRP.
  • This includes social media posts, digital coupons, email campaigns, and any other  promotions.

6.4 Policy Enforcement

Failure to comply with pricing policies may result in:

  • Written notice for the first violation
  • Suspension or termination of wholesale privileges for continued non-compliance

WMS reserves the right to revise MAP or MSRP policies with written notice to Retailers.

7. Use of Brand Assets

WMS grants approved Retailers permission to use official product photography and approved descriptions for marketing purposes.

The following are not permitted:

  • Altering logos, branding elements, or product packaging
  • Modifying product imagery without approval
  • Repackaging WMS products

All brand representation should reflect the quality and aesthetic of Woodlands Mahjong Society.

8. Territory Considerations & Market Placement

Woodlands Mahjong Society does not offer guaranteed exclusivity or formal zip code protection unless agreed to separately in writing.

However, we are deeply committed to cultivating thoughtful retail partnerships. We carefully evaluate geographic placement and intentionally aim to avoid oversaturation within the same immediate market whenever possible.

Our goal is to support both our brand growth and the success of our retail partners by being strategic about where our products are placed. While we cannot promise exclusivity, we genuinely strive to maintain a healthy balance within each community.

9. Order Changes, Cancellations & Product Limits

  • Orders may be modified or canceled within 48 hours of submission or prior to shipment — whichever occurs first.
  • Once this window has passed, changes cannot be guaranteed.
  • Due to high demand or limited production runs, WMS may place quantity limits per order, per account, or per location at any time.

These measures help ensure fair distribution across our retail partners.

10. Right to Refuse or Terminate Partnership

WMS reserves the right, at its sole discretion, to approve, decline, suspend, or terminate any wholesale account at any time. This includes, but is not limited to:

  • Violation of wholesale policies
  • Misrepresentation of the brand
  • Failure to meet minimum order requirements

We value strong partnerships and expect alignment in brand standards and business practices.

11. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Texas.

12. Acceptance of Terms

  • Placement of a wholesale order constitutes acceptance of these terms.
  • WMS reserves the right to update or modify this Agreement at any time.
  • Continued partnership and ordering indicates acceptance of the most current version.

13. Community Impact & Giving Commitment

At Woodlands Mahjong Society, giving back is woven into the fabric of our brand.

All tiles created by WMS are "giving tiles." A portion of all proceeds from these tiles go to support local non-profits.   

Wholesale partners agree to represent these products with integrity and accuracy when communicating their impact. Any references to charitable giving must align with official language provided by WMS and may not be altered or exaggerated.

We are proud to collaborate with retailers who value purpose-driven products and who understand that when customers purchase WMS items, they are participating in something bigger than the game — they are contributing to tangible community impact.

WMS reserves the right to update charitable partnerships or allocation structures at any time while remaining committed to our mission of meaningful giving.
